LIFESPEAK INC. ANNOUNCES COMPLETION OF PLAN OF ARRANGEMENT
Lifespeak Inc. has completed the previously announced plan of arrangement under Section 192 of the Canada Business Corporations Act, pursuant to which 17104944 Canada Inc., an entity originally incorporated under the Business Corporations Act (Ontario) as 1001180076 Ontario Inc. and continued under the CBCA, acquired all of the issued and outstanding common shares in the capital of the company. The arrangement, which was announced on April 17, 2025, was approved by the company's shareholders at the special meeting held on June 23, 2025. The company obtained a final order from the Ontario Superior Court of Justice (commercial list) in respect of the arrangement on June 25, 2025.
It is expected that the Lifespeak common shares will be delisted from trading on the Toronto Stock Exchange in the coming days. The company will submit an application to cease to be a reporting issuer under applicable securities laws.
