The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 13, 2021.

Number of shares:  3,333,333 flow-through shares

Purchase price:  12 cents per flow-through share

Warrants:  1,666,666 share purchase warrants to purchase 1,666,666 shares

Warrant exercise price:  18 cents for a two-year period

Number of placees:  two placees

Finder's fee:  Red Cloud Securities Inc., $32,000 cash and 266,666 finder's warrants (Each non-transferable finder's warrant is exercisable into one common share of the company at a price of 12 cents per share for a two-year period.)
