("Baselode" or the "Company") (TSX.V: FIND OTCQB: BSENF) is pleased to announce that its Annual General & Special Meeting ("AGSM") of Shareholders will be held on Thursday, September 14th. More information on the meeting can be found in the Company's management information circular which will be posted on Sedar+ in mid-August. Stock Option Grant The Company is pleased to announce that the Board of Directors has approved the grant of stock options to certain directors, officers, employees, and consultants of the Company, allowing for the acquisition of up to, in the aggregate, 4,000,000 shares of the Company. The options are exercisable at a price of CAD $0.43 per share for five (5) years from the date of grant, vest one (1) year from the date of grant and are subject to regulatory policies and approvals. The grant of options to certain directors and officers is a "related party transaction" under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Company relied on the exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 contained in Sections 5.5(a) and 5.7(1)(a) of MI 61-101 in respect of related party matters, as the Company is listed on the TSX Venture Exchange ("TSXV") and neither the fair market value (as determined under MI 61-101) of the subject matter of, nor the fair market value of the consideration for, the transaction, insofar as it involves the related parties, exceeded 25% of the Company's market capitalization (as determined under MI 61-101). About Baselode Energy Corp. Baselode controls 100% of approximately 264,172 hectares for exploration in the Athabasca Basin area, northern Saskatchewan, Canada. The land package is free of any option agreements or underlying royalties. The Company discovered the ACKIO near-surface, high-grade uranium deposit in September 2021. ACKIO measures greater than 375 m along strike, greater than 150 m wide, comprised of at least 11 separate zones, with mineralization starting as shallow as 28 m beneath the surface and down to approximately 300 m depth beneath the surface with the bulk of mineralization occurring in the upper 120 m. ACKIO remains open to the west, south, and along the Athabasca sandstone unconformity to the east and south. Baselode's Athabasca 2.0 exploration thesis focuses on discovering near-surface, basement-hosted, high-grade uranium orebodies outside the Athabasca Basin. The exploration thesis is further complemented by the Company's preferred use of innovative and well-understood geophysical methods to map deep structural controls to identify shallow targets for diamond drilling.
