CULT FOOD SCIENCE ANNOUNCES DEBT SETTLEMENT

Cult Food Science Corp. has closed the previously announced debt settlement agreements to settle outstanding debts owed to certain arm's-length creditors totalling $273,350.

Pursuant to the settlement agreements, the company issued an aggregate of 18,223,333 common shares at a deemed price of 1.5 cents per share. Of these, 8,833,333 shares were issued in reliance on Section 2.24 of National Instrument 45-106 (Prospectus Exemptions) and will not be subject to a hold period. The remaining shares are subject to the statutory hold period of four months and one day from the date of issuance.

The board of directors of the company determined that it is in the best interests of the company to complete the debt settlement to preserve the company's cash for working capital.
