GCAC ANNOUNCES PRIVATE PLACEMENT

Global Compliance Applications Corp. has arranged a non-brokered private placement for gross proceeds of up to $1-million. The private placement consists of up to 90,909,091 units at a price of 1.1 cents per unit.

Each unit will consist of one common share and one common share purchase warrant. Each warrant will be exercisable into a common share of the issuer at a price of five cents per warrant share for a period of two years from issuance.

Net proceeds from the private placement will be used for general working capital.

All securities issued in connection with the private placement will be subject to a statutory hold period of four months. The company may be paying finders' fees up to the amount permitted by the Canadian Securities Exchange policies.

Completion of the private placement is subject to the receipt of all necessary corporate and regulatory approvals, including approval of the CSE.
