Purchase price:  five cents per share

Warrants:  22,044,000 share purchase warrants to purchase 22,044,000 shares

Warrant exercise price:  eight cents for a period of 18 months

Number of placees:  21 placees

Insiders:  Andrew Ryu, 5.3 million; Seinecliffe Management Ltd. (Andrew Ryu), 700,000; Jeffrey James Stevens, 400,000; S4 Management Inc. (Jeffrey James Stevens), one million; Steve Kang, 1.2 million; Michael Frank, one million; Richard Stone, 200,000; John Randolph Clifford, 100,000

Finder's fee:  an aggregate of $28,240 in cash payable to Hampton Securities Ltd. (In addition, a total of 564,800 non-transferable finder's warrants are issuable to the finder, whereby each finder's warrant entitles the holder to purchase one common share at an exercise price of eight cents for a period of 18 months.)
