The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on May 26, 2017.

Number of flow-through shares:  1.75 million flow-through shares

Purchase price:  20 cents per flow-through share

Warrants:  875,000 share purchase warrants to purchase 875,000 shares

Warrant initial exercise price:  30 cents

Warrant term to expiry:  two years

Number of placees:  three placees

Finder's fee:  Canaccord Genuity Corp., $28,000 cash and 140,000 warrants

Finder's warrant initial exercise price:  20 cents

Finder's warrant term to expiry:  Each warrant is exercisable at a price of 20 cents per share until May 26, 2019.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
