AREV PRIVATE PLACEMENT

Arev Nanotec Brands Inc. has arranged a private placement of up to 1.6 million units at a price of 10 cents per unit for gross proceeds of up to $160,000. Each unit comprises one common share of the company.

The funds will be used to secure product development and distribution.

Finders' fees shall be paid in cash, shares or warrants, or a combination of the forgoing, subject to the board approval and in accordance with the policies of the Canadian Securities Exchange.
