CHEMESIS INTERNATIONAL INC. ANNOUNCES FILING OF A PRELIMINARY FORM 1-A REGULATION A, TIER 2 OFFERING STATEMENT UNDER THE U.S. SECURITIES ACT

On May 19, 2020, Chemesis International Inc. filed a preliminary Form 1-A Regulation A, Tier 2, offering statement under the United States Securities Act of 1933, as amended, with the United States Securities and Exchange Commission in connection with the company's intention to offer up to 40 million units at a price of 50 U.S. cents per unit, with each unit comprising one common share of the company and one common share purchase warrant, and each warrant entitling the holder thereof to acquire one additional common share at an exercise price of 75 U.S. cents for a period of two years after the date of issuance.

The company cautions that there is no assurance that the offering will be completed on the terms currently contemplated, or at all. The offering will not commence until it is qualified by the SEC.
