Mr. Richard Carleton reports
CANADIAN LISTED COMPANIES HAVE NEW, COST-EFFECTIVE INTERNATIONAL DUAL LISTING OPPORTUNITY
The Canadian Securities Exchange has recognized the milestone accomplishment of its sister exchange, the National Stock Exchange of Australia (NSX). Today, the NSX listed the common shares of Gladiator Metals Corp., a Canadian company previously listed in Canada only. This dual listing was made possible by the NSX's innovative Low Doc Dual Listing process, which enables companies with a primary listing on approved Canadian exchanges to obtain the benefits of an Australian listing in a timely and cost-efficient manner.
Under this process, companies may seek a waiver from the majority of NSX's continuing listing obligations through their compliance with Canadian exchange and securities law requirements. A prospectus is generally not required if the issuer is not completing a concurrent capital raise. Gladiator sought and was granted relief from certain regulatory requirements in Canada that allowed it to maintain its status as a venture issuer. Under the process, NSX relies on the issuer's Canadian public disclosure record, including financial statements and public announcements, thereby eliminating incremental compliance burdens for issuers.
"This innovative program will greatly facilitate a Canadian issuer's access to the dynamic Australian capital market," said Richard Carleton, chief executive officer of the CSE. "We congratulate the NSX and Gladiator for working through this process and thank the Australian and Canadian regulators for their support on the initiative. Collectively, we have pioneered a process that should unlock significant capital formation opportunities for Canadian issuers."
"The Low Doc Dual Listing process is an outgrowth of the tremendous level of interest in the NSX since we became affiliated with the CSE," said Max Cunningham, chief executive officer of the NSX. "We look forward to seeing the equity securities of other Canadian companies, both from the CSE and other exchanges, listing on our exchange."
"Our decision to establish a secondary listing on the NSX reflects the growing interest we are seeing in Gladiator from Australian investors and our desire to make ownership of the company as simple and accessible as possible," said Jason Bontempo, chief executive officer of Gladiator. "We remain firmly committed to our Canadian listing and the strong support we have received from Canadian investors as we benefit from this efficient and cost-effective pathway to broaden our investor base.
"We believe the combination of the CSE's affiliation with the NSX, an experienced management team and a regulatory framework designed for venture-stage companies creates a compelling opportunity to build stronger capital-market links between Canada and Australia," added Mr. Bontempo. "As an Australian-led company developing a high-grade copper-gold project in Canada, Gladiator is particularly well positioned to benefit from that connection. We are pleased to be the first Canadian dual listing on the NSX and look forward to supporting the development of this increasingly important bridge between the two markets."
