The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 11, 2023, Dec. 12, 2023, and Dec. 14, 2023.

Number of shares:  25 million shares

Purchase price:  12 cents per share

Warrants:  12,499,998 share purchase warrants to purchase 12,499,998 shares

Warrant exercise price:  18 cents for a two-year period

Number of placees:  28 placees

Total existing insider involvement:  1.25 million (one insider)

Total pro group involvement:  2,082,666 (two pro groups)

Finder's fee:  $23,412.01 cash and 195,100 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 18 cents until Dec. 22, 2025.

The company issued a news release on Dec. 22, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
