The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 6, 2023.

Number of shares:  three million common share units, each unit consisting of one common share in the capital of the company and one share purchase warrant

Purchase price:  five cents per unit

Warrants:  three million whole warrants to purchase three million shares

Warrant price:  five cents, exercisable until Nov. 20, 2028, being a period of five years from the date of issuance

Number of placees:  one placee

Total existing insider involvement:  three million (one existing insider)

The company issued a news release on Nov. 20, 2023, to confirm the closing of the private placement.
