ZIMTU CAPITAL ANNOUNCES NON-BROKERED PRIVATE PLACEMENT FINANCING

Zimtu Capital Corp. intends to complete a non-brokered private placement of up to 10 million units of the company at a price of 15 cents per unit for gross proceeds of up to $1.5-million.

Each unit will consist of one common share of the company and one transferable common share purchase warrant. Each warrant will entitle the holder to acquire one additional common share at a price of 20 cents per share for a period of 24 months from the date of issuance.

The proceeds of the offering are expected to be used for general working capital purposes.

The closing of the offering is subject to certain conditions, including, but not limited to, the receipt of all necessary regulatory approvals, including approval of the TSX Venture Exchange. Finders' fees may be paid in connection with the offering in accordance with the policies of the exchange. All securities issued pursuant to the offering will be subject to a statutory hold period of four months and one day under applicable securities laws.
