YOCALE.AI FILES AMENDED AND RESTATED INTERIM FINANCIAL STATEMENTS AND MD&A

Yocale.ai Inc. has filed amended and restated unaudited condensed interim financial statements and management's discussion and analysis for the three and six months ended Feb. 28, 2026.

The amended filings correct the accounting classification of a $158,000 advance paid on Feb. 23, 2026, in anticipation of the company's platform module licence and access program with Yocale Network Corp.

The advance was previously classified as an advertising and marketing expense. In the amended and restated financial statements, the amount has been recorded as a prepaid platform module within prepaid expenses and deposits.

As a result of the correction:

• Current assets as at Feb. 28, 2026, increased by $158,000.
• Advertising and marketing expense, net loss and comprehensive loss, and accumulated deficit were each reduced by $158,000.
• Net loss and comprehensive loss for the three months ended Feb. 28, 2026, decreased by $158,000, from $1,045,480 to $887,480, with amended and restated loss per share of two cents.
• Net loss and comprehensive loss for the six months ended Feb. 28, 2026, decreased by $158,000, from $1,991,527 to $1,833,527, with amended and restated loss per share of three cents.
• The correction had no impact on the company's cash and cash equivalents.

The company also reclassified its deferred consideration payable to YNC from current liabilities to non-current liabilities. This reclassification did not change the total amount of deferred consideration payable.

The related presentation of the statement of changes in shareholder equity and statement of cash flows, together with the corresponding MD&A disclosure, has also been amended to reflect the corrections.

No other changes have been made to the previously filed interim financial statements and MD&A.
