The TSX Venture Exchange has accepted for filing documentation pertaining to a mineral property acquisition agreement dated July 8, 2025, between the company and an arm's-length vendor, whereby the company will acquire a 100-per-cent interest in certain mineral claims located in Quebec, known as the mineral claims comprising the Bear River property.

Under the terms of the agreement, the company will issue a total of one million common shares to the vendor, split into two payments:

• 500,000 shares within 15 days of the TSX Venture Exchange's acceptance of the agreement;
• 500,000 shares on or before the first anniversary of the agreement's acceptance.

The share issuance is conditional on the vendor's ownership of the company's shares remaining below 10 per cent. The shares will be withheld until this condition is met.

The vendor will retain a 2-per-cent net smelter return (NSR) royalty.
