XIGEM TECHNOLOGIES ANNOUNCES INTENTION TO ISSUE SHARES PURSUANT TO DEBT SETTLEMENT

Xigem Technologies Corp. intends to enter into agreements with certain of its creditors to issue an aggregate of up to 10,464,595 common shares to such creditors in exchange for the cancellation of outstanding accounts payable in the aggregate amount of up to $523,230 owing to certain creditors. The settlement shares are expected to be issued at a price of five cents in accordance with the policies of the Canadian Securities Exchange. Creditors include but are not limited to insiders of the company. The company will be completing the shares-for-debt transaction to improve its financial position in an effort to support its planned future growth.

All settlement shares will be subject to a four-month-and-one-day hold period. The shares-for-debt transaction remains subject to CSE acceptance. No new control person of the company will be created pursuant to the shares-for-debt transaction. The company intends to rely upon certain exemptions from the valuation and securityholder approval requirements of Multilateral Instrument 61-101 and will provide full details in any closing press release.
