--->acement of the Company that was completed on June 12, 2019 (the "Private Placement") at a price of $0.15 per Acquired 
--->Share for aggregate consideration of $346,526.40.
 
Prior to the Acquisition, Taiga did not have ownership and control over any securities of the Company. Following the A
