WILDSKY RESOURCES INC. ANNOUNCES COMPLETION OF PRIVATE PLACEMENT

Wildsky Resources Inc., further to its news release dated Nov. 18, 2025, has completed a non-brokered private placement of 15 million units at a price of 10 cents per unit for aggregate gross proceeds of $1.5-million. Each unit comprises one common share and one-half of one common share purchase warrant of the company. Each whole warrant is exercisable into one additional common share of the company at an exercise price of 15 cents per share until Dec. 5, 2028.

The proceeds of the offering will be used for project evaluation, corporate expenses and working capital. The securities issued under the offering will have a hold period expiring on April 6, 2026.

Pursuant to Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions, the company advises that the offering constitutes a related party transaction under MI 61-101 due to the participation of certain insiders as subscribers under the offering. Insiders subscribed for 2.25 million units for aggregate proceeds of $225,000 pursuant to the offering. The company is relying on the exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 pursuant to Section 5.5(a) and Section 5.7(1)(a) of MI 61-101 based on the fact that neither the fair market value of the offering nor the fair market value of the consideration paid pursuant to the offering, insofar as it involves related parties, exceeds 25 per cent of the company's market capitalization.
