The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 13, 2024.

Number of shares:  2.78 million common share units, each unit consisting of one common share in the capital of the company and one share purchase warrant

Purchase price:  18 cents per unit

Warrants:  2.78 million warrants to purchase 2.78 million shares

Warrant exercise price:  25 cents for a period of 24 months from the date of issuance

Number of placees:  14 placees

The company issued a news release on March 13, 2024, to confirm the closing of the private placement.
