WINDFALL GEOTEK ANNOUNCES PRIVATE PLACEMENT

Windfall Geotek Inc. will conduct a non-brokered private placement of up to 25 million units of the company at a price of two cents per unit, for maximum gross proceeds of up to $500,000. Each unit comprises one common share of the company and one common share purchase warrant, each warrant entitling the holder to purchase a common share of the company at an exercise price of five cents per warrant share for a period of two years following the closing of the offering.

The net proceeds raised from the offering will be used for working capital and bona fide debt settlement, excluding accrued salaries to officers or directors of the company, and payment for investor relations activities.

In connection with closing of the offering, the company may pay finders' fees to eligible parties that have assisted in introducing subscribers to the offering. Completion of the offering remains subject to regulatory approval.
