The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 25, 2023.

Number of shares:  15,811,666 common shares

Purchase price:  12 cents per common share

Number of placees:  34 placees

Total existing insider involvement:  two million (one insider)

Total pro group involvement:  975,000 (five pro groups)

Finder's fee:  $114,738 cash and 149,000 warrants

Finder's warrant terms:  Each finder's warrant is exercisable to acquire one common share at an exercise price of 20 cents for a period of 12 months from the issuance.

The company issued a news release on Aug. 30, 2023, confirming the closing of the private placement.
