The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Sept. 1, 2023, and Sept. 29, 2023.

Number of shares:  600,000 flow-through (FT) shares; three million common share units (Each unit consists of one common share and one common share purchase warrant.)

Purchase price:  six cents per FT share and five cents per unit

Warrants:  three million share purchase warrants to purchase three million common shares

Warrant price:  six cents per common share, exercisable for a period of one year from the date of issuance

Number of placees:  eight placees

Total pro group involvement:  200,000 (one pro group)

The company issued news releases on Sept. 29, 2023, Oct. 20, 2023, and Nov. 10, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
