SISU INVESTMENT CORPORATION PURCHASES SHARES OF WILMINGTON CAPITAL MANAGEMENT INC. FROM 2361380 ONTARIO LIMITED

On Dec. 24, 2025, Sisu Investment Corp. purchased from 2361380 Ontario Ltd. 2.5 million Class A shares and 115,000 Class B shares of Wilmington Capital Management Inc.

The acquired shares represent approximately 22 per cent and 11.5 per cent of the presently issued and outstanding Class A shares and Class B shares, respectively. Following the transaction, Sisu owns 4,065,574 Class A shares, which represent approximately 35.4 per cent of the outstanding Class A shares, and 292,559 Class B shares, which represent approximately 29.3 per cent of the Class B shares, and 2361380 owns 1,013,420 Class A shares, which represent approximately 8.8 per cent of the outstanding Class A shares, and 90,000 Class B shares, which represent approximately 9 per cent of the Class B shares. The Class A shares and Class B shares were acquired by Sisu for investment purposes.

The securities were acquired by Sisu through a private purchase from 2361380 at a price of $2.50 per share for an aggregate purchase price of $6,537,500.
