April 17. 2024 REINSTATEMENT TO TRADING

Pepcap Resources Inc. has made the following announcements.

The company was suspended due to a cease trade order issued by the British Columbia Securities Commission on Feb. 2, 2024, against the company for failing to file its annual audited financial statements, the annual management discussion and analysis, and the certification of the annual filings for the period ended Sept. 30, 2023.

As a result of the cease trade order, the company's activities were temporarily suspended. The company has decided to re-evaluate its strategic direction and focus on identifying suitable business opportunities that align with its core strengths and values.

The company has now reinstated trading on the NEX board of the TSX Venture Exchange and is actively seeking potential business ventures that align with its expertise and corporate objectives.

The company intends on holding its annual general meeting on or before Dec. 31, 2024.
