CWTI ON TSX VENTURE EXCHANGE CEASE TRADE ORDER

Effective May 7, 2026, the TSX Venture Exchange suspended trading in Current Water Technologies Inc.'s securities as a result of a cease trade order (CTO) issued by the Ontario Securities Commission.

The cease trade order was issued because Current Water Technologies was unable to file its annual financial statements, management's discussion and analysis, and the required certifications for the year ended Dec. 31, 2025, on or before the prescribed filing deadline of April 30, 2026.

Due to an unexpected circumstance related to the unavailability of key staff to compile the necessary documentation within the expected time frame, the company's standard financial reporting process was disrupted. Consequently, submission of the final audit documents has been delayed.

The company expects the audit to be completed by May 30, 2026, with the annual filings completed as soon as possible thereafter. The company acknowledges that reinstatement to trading shall occur only when the CTO is revoked and the exchange has concluded its reinstatement review to ensure the company has satisfactorily complied with exchange requirements.
