EARLY WARNING NEWS RELEASE ANTHONY BERUSCHI RE VANITY CAPITAL INC.

Vanity Capital Inc. investor Anthony Beruschi on Aug. 18, 2025, acquired indirect ownership of 2.8 million units of securities of Vanity Capital Inc. at a price of one cent per unit for total consideration of $28,000 pursuant to a private placement offering. Each unit is composed of one common share and one-half of one share purchase warrant, with each whole warrant entitling the holder to purchase one additional common share of Vanity for one year at a price of five cents per share.

Mr. Beruschi's participation in the private placement increased the percentage of Vanity's issued and outstanding common shares held by Mr. Beruschi by approximately 9.82 per cent on a non-diluted basis and increased by approximately 14.05 per cent assuming the exercise of all warrants held by Mr. Beruschi. Immediately prior to participation in the private placement, Mr. Beruschi did not have ownership and control, directly and indirectly, of any securities of Vanity. Immediately after participation in the private placement, Mr. Beruschi had ownership and control, directly and indirectly, of 2.8 million units of Vanity, representing approximately 9.82 per cent of the issued and outstanding common shares of Vanity on a non-diluted basis, and 14.05 per cent when assuming exercise of all 1.75 million warrants held by Mr. Beruschi.

Mr. Beruschi's acquisition of securities was made for business reasons and investment purposes. Mr. Beruschi may in the future wish to increase or decrease his shareholdings in Vanity as circumstances warrant. Such circumstances may include but are not limited to compliance with applicable securities laws, general market and economic conditions, business prospects of Vanity and investment and business opportunities available to Mr. Beruschi.
