VALDOR ANNOUNCES SUBDIVISION OF SHARES AND CLOSING OF DEBT SETTLEMENT

Valdor Technology International Inc. will conduct a two-for-one share split of the company's issued and outstanding common shares. Shareholder of record of the company as of the close of business on the record date, March 3, 2025, will receive one additional share for each share held on such date.

The company currently has 66,903,114 issued and outstanding common shares. Upon completion of the subdivision, there will be approximately 133,806,228 shares issued and outstanding. The company proposes the subdivision to increase the liquidity and marketability of its common shares.

The Canadian Securities Exchange will publish a bulletin confirming the subdivision for the company in due course. The company's common shares will begin trading on a postsubdivision basis on Monday, March 3, 2025.

Shareholders do not need to take any action with respect to the subdivision. As per CSE policy, the subdivision is being conducted on a pushout basis, and, therefore, the company's Cusip number will remain the same. The company's transfer agent, Endeavor Trust Corp., will send holders of common shares as of the record date a direct registration system advice letter in lieu of a share certificate, which will represent the additional shares resulting from the subdivision.

Closing of debt settlement

The company announces that it has closed its previously announced debt settlement agreement to settle an outstanding debt owed to an arm's-length creditor totalling $31,500.

Pursuant to the settlement agreement, the company has issued an aggregate of 351,000 common shares at a deemed price of 10 cents per share. The shares issued pursuant to the settlement agreement are subject to a four-month-and-one-day hold period, pursuant to National Instrument 45-106 (Prospectus Exemptions).

The board of directors of the company determined that it was in the best interests of the company to complete the debt settlement to preserve the company's cash for working capital.
