The TSX Venture Exchange has accepted for filing V Ten Metals Corp.'s qualifying transaction (QT) and related transactions, as described in its filing statement dated Feb. 17, 2026.

As a result, at the opening on Wednesday, March 4, 2026, the company will no longer be considered a capital pool company (CPC).

The QT includes the following matters, all of which have been accepted by the exchange.

Qualifying transaction -- completed/new symbol

Pursuant to a definitive share exchange agreement dated Sept. 29, 2025, as amended Jan. 30, 2026, the company has acquired 100 per cent of the issued and outstanding shares of Top End Exploration Pty. Ltd. (a non-arm's-length party).

The acquisition was completed through the issuance of eight million common shares of the company to the shareholders of Top End Exploration at a deemed price of 25 cents per common share.
