The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced May 5, 2023.

Number of shares:  9.2 million common share units, each unit consisting of one common share in the capital of the company and one-half of one transferable share purchase warrant

Purchase price:  15 cents per unit

Warrants:  4.6 million whole warrants to purchase 4.6 million shares

Warrant price:  25 cents, exercisable for a period of 18 months from the date of issuance

Number of placees:  13 placees

Total existing insider involvement:  1,385,960 (one insider)

Total pro group involvement:  1,761,598 (two pro groups)

Finder's fee:  $70,314.28 cash and 468,761 warrants to one finder (The finder's warrants are non-transferable and may be exercised at 15 cents per finder's share for a period of 12 months from the date of issuance.)

The company issued a news release on May 24, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
