The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 10, 2023.

Number of shares:  10 million common share units (Each unit consists of one common share in the capital of the company and one-half of one share purchase warrant.)

Purchase price:  15 cents per unit

Warrants:  five million whole warrants to purchase five million shares

Warrant price:  25 cents, exercisable for a period of 18 months

Number of placees:  eight placees

Total existing insider/pro group involvement:  2,716,470 units (one insider); 400,000 units (one pro group)

Finders' fees:  $28,000 cash and 186,666 warrants (two finders) (The finders' warrants shall be exercisable into shares at a price of 15 cents per finder's warrant for a period of 12 months.)

The company issued a news release on March 29, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
