SILVER VIPER CLOSES FIRST TRANCHE OF PRIVATE PLACEMENT

Silver Viper Minerals Corp. has closed the first tranche of its $2-million private placement announced on Dec. 18, 2023, issuing 5,324,000 units of the company at a price of 10 cents per unit for aggregate gross proceeds of $532,400.

Each unit consists of one common share and one warrant. Each warrant entitles the holder thereof to acquire one share at the price of 20 cents per share until Dec. 22, 2025. The shares and warrants comprising the units and any shares issued upon the exercise of the warrants are subject to a statutory hold period, which expires on April 23, 2024.

The issuer intends to use the proceeds from the offering to make its final $200,000 (U.S.) option payment on its La Virginia project due in June, 2024, and for working capital and other general corporate purposes.

The company has agreed to pay a finder's fee to certain finders in respect of those purchasers under the offering introduced to the company by such finder. In connection with the closing of the first tranche, Silver Viper will pay finders' fees of $15,204 to Canaccord Securities Inc., $8,700 to Haywood Securities Inc., $1,800 to Leede Jones Gable., $1,260 to Red Cloud Securities and $900 to BMO Nesbitt Burns Inc.
