The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 11, 2023.

Number of units:  9.46 million common share units, with each unit consisting of one common share in the capital of the company and one share purchase warrant

Purchase price:  five cents per unit

Warrants:  9.46 million warrants to purchase 9.46 million shares

Warrant price:  10 cents, exercisable until June 13, 2025, being a period of 18 months from the date of issuance

Forced exercised provision:  The warrants are subject to an acceleration provision, whereby, in the case that the shares of the company trade on the exchange at 25 cents or more for a period of 10 consecutive trading days, the company will have the option to give notice to the warrantholders by way of news release, indicating that warrants will expire 30 days thereafter.

Number of placees:  eight placees

Total pro group involvement:  998,000 (one pro group)

Finder's fee:  $20,655 cash and 413,100 warrants (The finder's warrants are exercisable at 10 cents per finder's share until Dec. 13, 2024.)

The company issued a news release on Dec. 13, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
