VERSES ANNOUNCES PROPOSED WARRANT AMENDMENT

Verses AI Inc. plans to amend certain terms of an aggregate of 1,316,787 Class A subordinate voting share purchase warrants, which were issued as consideration to certain arm's-length finders as consideration for the introduction of certain subscribers to the company in connection with its private placement offering of 20 million special warrants at an issue price of 80 cents per special warrant for aggregate gross proceeds of $16-million, which completed in two tranches on Oct. 21, 2021, and Nov. 2, 2021.

Each finder warrant is exercisable at an issue price of 80 cents per finder warrant by the holder thereof into one unit of the company for a period of 24 months from the date of issuance. Each finder unit is composed of one Class A subordinate voting share of the company and one-half of one warrant to purchase one Class A share, each finder unit warrant entitling the holder thereof to acquire one Class A share at an exercise price of $1.20 per finder unit warrant share for a period of 24 months following the date of issuance.

The company wishes to amend the finder warrants by changing the expiration date of the finder warrants from Oct. 21, 2023, and Nov. 2, 2023, as applicable, to Aug. 15, 2025.

The expiration amendment requires shareholder approval in accordance with Policy 10.09(2) of Neo Exchange's listing manual. Pursuant to the exemption in 10.09(2), the company expects to obtain written consents from over 50 per cent of the disinterested shareholders of the company for the expiration amendment.

The completion of the expiration amendment remains subject to receipt of the aforementioned disinterested shareholder approval, as well as the acceptance of NEO.
