The TSX Venture Exchange has accepted for filing documentation related to a transaction agreement dated Oct. 31, 2025, between Venzee Technologies Inc. and Digital Commerce Payments Inc., whereby the company has acquired the Jasper assets and a perpetual licence for the Jasper software.

The acquisition consists of the Jasper assets, including tangible and intangible property, such as accounts receivable, books and records, and goodwill, but specifically excludes ownership of the Jasper software. In connection with the asset purchase, the vendor has granted the company a royalty-free, exclusive and perpetual licence to use the Jasper software for its e-commerce operations.

The total consideration of $2.85-million was satisfied through the issuance of 30 million common shares of the company to the vendor at a deemed price of 9.5 cents per share. Specifically, 13,157,895 shares were issued for the Jasper assets (valued at $1.25-million) and 16,842,105 shares were issued as a software fee for the perpetual licence (valued at $1.6-million).

The 30 million consideration shares are subject to escrow requirements in accordance with exchange policies for Tier 2 issuers. The transaction is non-arm's length in nature and no finders' fees were payable in connection with the transaction.

The exchange has been advised that the requisite approval of the transaction by the company's shareholders was received at its annual general and special meeting held on Dec. 10, 2025.
