VENZEE TECHNOLOGIES ANNOUNCES VOTING RESULTS OF ANNUAL GENERAL AND SPECIAL MEETING

Venzee Technologies Inc. has released the results of its recently held annual general and special meeting of holders of common shares of the company.

The total number of shares represented at the meeting was 38,463,901 shares, representing approximately 15.60 per cent of the 246,561,509 issued and outstanding shares of the company.

All resolutions noted in the information circular dated June 30, 2023, were approved by the shareholders, including the election of the board, appointment of auditor, approval of the omnibus long-term incentive plan and the management debt settlement.

The following individuals have also been appointed officers of the company and hold the following positions until others are appointed in their place:

• John Sexton Abrams -- president and chief executive officer;
• Peter Montross -- chairman and chief operating officer;
• Darren Battersby -- chief financial officer.

The following have been appointed to the audit committee to hold office until the next annual general meeting or others appointed in their place:

• Tom Linden (chair);
• Sean Copeland;
• Mr. Montross.
