VANCOUVER, BC, September 17, 2026 – TheNewswire - Ventra Metals Corp. (“ Ventra ” or the “ Company ”) (TSXV: VENT) is pleased to announce that shareholders approved all resolutions presented at its annual general and special meeting held on September 16, 2026 (the “ Meeting ”).

A total of 5,946,600 common shares were voted at the Meeting representing 36.77 % of the issued and outstanding common shares. At the Meeting:

• The number of directors was set at five with Sean McGrath, Mason Granger, Todd Burlingame, Scott Smith and Shawn Nicholas elected;  

• Saturna Group, Chartered Professional Accountants LLP , was appointed as auditor;  

• The adoption of the Company’s omnibus incentive plan (the “ Omnibus Plan ”) was approved by disinterested shareholders of the Company; and  

• The granting of 1,125,000 incentive stock options pursuant to the Omnibus Plan was approved by disinterested shareholders of the Company.
