VEJI ANNOUNCES PRIVATE PLACEMENT

Veji Holdings Ltd. proposes to undertake a non-brokered private placement of up to 1.7 million common shares, at a purchase price of five cents per common share, to raise total gross proceeds of up to $85,000.

Closing of the placement is subject to Veji obtaining all necessary corporate and regulatory approvals, including approval of the Canadian Securities Exchange (CSE). The company will pay finders' fees to eligible finders in connection with the placement, subject to compliance with applicable securities laws and the policies of the CSE. All securities issued to Canadian investors in connection with the placement will be subject to a statutory hold period of four months plus a day from the date of issuance in accordance with applicable securities legislation in Canada.

The company intends to use the net proceeds from the placement for general working capital and corporate purposes. Closing of the placement is expected to occur on or about the week of Feb. 19, 2024.
