Further to the TSX Venture Exchange bulletin dated April 20, 2022, the exchange has accepted for filing documentation the amending agreement dated Sept. 30, 2022, between the company and arm's-length parties with regard to the option agreement to acquire the Hansen prospect, located in Northern Quebec.

Pursuant to the amending agreement, the company and the optionor have agreed to amend certain considerations payable as part of the earn-in schedule as follows:

• $10,000 cash payable by Oct. 1, 2022;
• $15,000 cash and 250,000 shares payable by Dec. 31, 2022;
• $25,000 cash and 250,000 shares payable by Oct. 1, 2023;
• $20,000 cash payable by Oct. 1, 2024;
• $200,000 in expenditures on or before Oct. 31, 2024.

This acquisition is considered an arm's-length transaction.
