The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 5, 2024, and March 18, 2024.

Number of shares:  38,460,995 common share units, each unit consisting of one common share in the capital of the company and one share purchase warrant

Purchase price:  6.5 cents per unit

Warrants:  38,460,995 warrants to purchase 38,460,995 shares

Warrant price:  12 cents, exercisable for a period of 36 months from the date of issuance

Number of placees:  95 placees

Total existing insider involvement:  3,504,538 (six existing insiders)

Total pro group involvement:  4,623,076 (13 existing pro groups)

Finders' fees:  $50,483 cash and 776,654 warrants (six finders) (The finders' warrants are exercisable at 12 cents per finder's share for a period of three years from the date of issuance.)

The company issued a news releases on April 11, 2024, to confirm the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
