The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced May 16, 2023.

Number of shares:  9.1 million common share units, each unit consisting of one common share in the capital of the company and one non-transferable share purchase warrant; 16,668,333 flow-through (FT) common shares

Purchase price:  22 cents per unit; 24 cents per FT share

Warrants:  4.55 million whole warrants to purchase 3,507,000 shares

Warrant price:  30 cents, exercisable for a period of two years from the date of issuance

Number of placees:  77 placees

Total pro group involvement:  4,625,700

Finder's fee:  $330,144 cash and 1,421,050 warrants

The finder's warrants are exercisable at 22 cents per finder's share until June 1, 2025, being two years from the date of issuance.

The company issued a news release on June 1, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
