VEGANO CLARIFIES PREVIOUS ANNOUNCEMENT REGARDING DEFINITIVE AGREEMENT FOR ACQUISITION OF RUDDER SUPPLEMENTS

Vegano Foods Inc. would like to clarify that, further to its news releases dated June 13, 2023, and July 11, 2023, the 10 million common shares of the company issuable to Rudder Supplements Corp. pursuant to the proposed amalgamation will be issued at a price of 2.94 cents per share for gross consideration of $294,000.

The transaction remains subject to customary conditions of closing, including the company completing due diligence to its satisfaction and the approval of the shareholders of Rudder and the Canadian Securities Exchange (if required), and is expected to complete shortly.
