The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 20, 2023.

Number of shares:  1,785,714 common shares in the capital of the company on a flow-through (FT) basis

Purchase price:  14 cents per FT share

Number of placees:  one placee

Finder's fee:  $17,500 cash and 125,000 warrants (one finder)

The finder's warrants are non-transferable and may each be exercised at the election of the holder thereof into one common share of the company at a price of 20 cents per share for a period of two years from the date of issuance.

The company issued a news release on Oct. 20, 2023, confirming the closing of the private placement.
