Mr. Darren Collins reports

USCM ANNOUNCES CONDITIONAL APPROVAL OF CSE LISTING AND VOLUNTARY DELISTING FROM THE TSXV

U.S. Critical Metals Corp. has received conditional approval to list its common shares on the Canadian Securities Exchange and anticipates to voluntarily delist its common shares from the TSX Venture Exchange. To ensure continued trading of the Company's common shares, the Company intends to arrange for the delisting of its common shares from the TSXV at market close on September 8, 2023 and subsequent commencement of trading on the CSE on September 11, 2023. The Company's trading symbol "USCM" will remain the same and shareholders will not be required to take any action in connection with the CSE listing.

Management is of the view that listing the common shares on the CSE will provide the Company continued liquidity for its shareholders. Management further believes that the CSE provides an advantageous platform in terms of implementing the transactional business model pursued by the Company.

About US Critical Metals Corp.

USCM is focused on mining projects that will further secure the US supply of critical metals and rare earth elements, which are essential to fueling the new age economy. Pursuant to option agreements with private Canadian and American companies, USCM's assets consist of four agreements, each providing USCM with the right to acquire interests in five discovery focused projects in the US. These projects include the Clayton Ridge Lithium Project located in Nevada, the Sheep Creek Rare Earth Project located in Montana, the Haynes Cobalt Project located in Idaho, the Lemhi Pass Rare Earth Project located in Idaho and the Long Canyon Uranium project located in Idaho. A significant percentage of the world's critical metal and rare earth supply comes from nations with interests that are contrary to those of the US. USCM intends to explore and develop mineral resources with near- and long-term strategic value to the advancement of US interests.
