Mr. Steven Pearce, an investor, reports

Steven Pearce, of Singapore, has acquired control and direction over 7,882,527 common shares of Inturai Ventures Corp. through a private acquisition. The shares represent approximately 6.8 per cent of the issued and outstanding common shares of the company, and were acquired at a price of 20 cents per share.

Prior to the acquisition, Mr. Pearce had control and direction over an aggregate of 8,773,388 common shares in the capital of the company and two million incentive stock options. The options entitle the holder to purchase an equivalent number of common shares at a price of five cents until Aug. 30, 2029.

The 8,773,388 common shares controlled by Mr. Pearce prior to the acquisition represented 7.6 per cent of the total number of issued and outstanding common shares. If all of the options controlled by Mr. Pearce were exercised prior to the acquisition, Mr. Pearce would have control and direction over an aggregate of 10,773,388 common shares, representing approximately 9.1 per cent of the issued and outstanding common shares on a partially diluted basis. Immediately following the acquisition, Mr. Pearce has control and direction over an aggregate of 16,655,915 common shares, representing approximately 14.3 per cent of the company's issued and outstanding common shares, and two million options. If all of the options controlled by Mr. Pearce were exercised immediately following the acquisition, Mr. Pearce would have control and direction over an aggregate of 18,655,915 common shares, representing approximately 16.1 per cent of the issued and outstanding common shares on a partially diluted basis.

The purchased shares were acquired for investment purposes. Depending on market conditions, Mr. Pearce may, from time to time, acquire additional securities, exercise options, dispose of some or all of the existing or additional securities, or may continue to hold the securities of the company.
