The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 8, 2024.

Convertible notes:  $150,000 principal amount of secured convertible notes

Maturity date:  May 28, 2024, subject to acceleration in certain instances

Interest rate:  No interest will accrue on the principal amount prior to the maturity date; however, following an event of default or the maturity date, the principal amount will accrue interest at a rate of 15 per cent per annum.

Conversion price:  convertible into common shares of the company at a conversion price of five cents per share in year 1, then 10 cents per share thereafter until Jan. 25, 2029

Number of placees:  one placee
