(the "Company") (TSXV: UNO) December 21, 2023: The Company is pleased to announce that at the Company's 2023 annual & special meeting of shareholders held earlier today, Vincent Teo, Aaron Patchett and Georgia Knight were elected as directors. Mr. Teo is President, Chief Executive Officer and Chief Financial Officer of the Company. Shareholders re-appointed Davidson & Company LLP, Chartered Professional Accountants as the Company's auditor and approved the Company's 10% rolling stock option plan. Shareholders also approved, by special resolutions, proposed consolidations of its share capital on the basis of one post-consolidation share for twenty-five (25) pre-consolidation shares to one post- consolidation share for ten (10) pre-consolidation shares. The Company's board of directors is authorized to effect a chosen share consolidation at a date in the future when the board of directors considers it to be in the best interests of the Company to implement the share consolidation, subject to acceptance for filing by the TSX Venture Exchange. Shareholders also authorized the board of directors of the Company, in its sole discretion, to revoke the special resolution in whole or in part at any time prior to its being given effect without further notice to, or approval of, the shareholders of the Company.
