2023 SHAREHOLDERS' MEETING

At Northern Uranium Corp.'s 2023 annual and special meeting of shareholders held earlier today, Vincent Teo, Aaron Patchett and Georgia Knight were elected as directors. Mr. Teo is president, chief executive officer and chief financial officer of the company. Shareholders reappointed Davidson & Company LLP, chartered professional accountants, as the company's auditor and approved the company's 10-per-cent rolling stock option plan.

Shareholders also approved, by special resolutions, proposed consolidations of its share capital on the basis of one postconsolidation share for 25 preconsolidation shares to one postconsolidation share for 10 preconsolidation shares. The company's board of directors is authorized to effect a chosen share consolidation at a date in the future when the board of directors considers it to be in the best interests of the company to implement the share consolidation, subject to acceptance for filing by the TSX Venture Exchange. Shareholders also authorized the board of directors of the company, in its sole discretion, to revoke the special resolution in whole or in part at any time prior to its being given effect without further notice to, or approval of, the shareholders of the company.
