The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 31, 2023.

Number of shares:  3,636,364 common share units, each unit consisting of one common share in the capital of the company and one-half of one share purchase warrant

Purchase price:  5.5 cents per unit

Warrants:  1,818,182 warrants to purchase 1,818,182 shares

Warrant term:  exercisable for a period of 24 months from the date of issuance at a price of 11 cents per share in the first 12 months and 25 cents per share thereafter

Number of placees:  one placee

Finder's fee:  none

Insider/pro group participation:  none

The company issued a news release on Sept. 7, 2023, to confirm the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
