The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 11, 2023, and Aug. 14, 2023.

Number of shares:  18,181,819 common shares

Purchase price:  5.5 cents per common share

Warrants:  9,090,910 share purchase warrants to purchase 9,090,910 shares

Warrant exercise price:  11 cents in the first 12 months and 25 cents in the second 12 months from the date of issuance, subject to an accelerated expiry

Number of placees:  five placees

Finder's fee:  $30,000 and 545,455 shares

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
