The TSX Venture Exchange has accepted for filing an offering of $518,700 (U.S.) principal amount of secured non-convertible debentures to arm's-length subscribers (collectively the lenders). The debentures have a purchase price of $950 (U.S.) with a face value of $1,000 (U.S.) per debenture. Maturing on Dec. 31, 2028, the debentures will carry an interest rate of 9 per cent per annum, payable semi-annually.

Finders' fees:  aggregate of $22,743 (U.S.) in cash and 12,097 finders' warrants payable to Pickwick Capital Partners LLC, Erik Grunebaum, Gary Reneau and Crescent Varrone (Each finder's warrant entitles the holder to acquire one common share at 94 Canadian cents for 24-month period.)
